Difference: EncryptByCert/EncryptByKey in SQL 2005

Hi All

Can someone tell me what is the difference between encryptbycert and EncryptByKey? I know with the one you uses the key and with the other one you just uses the certificate? But is that all?

And which one would you prefer?
